Thrive Website Terms & Conditions & Privacy Policy

Welcome to www.thrive.nz, the official website of Thrive CA Ltd ("Thrive", "we", "our", or "us"). By accessing this site or engaging with our services, you agree to the following terms and conditions. These apply in conjunction with any service-specific agreement you may enter into with us.

1. General Use of the Website

You agree to use this website only for lawful purposes and in a way that does not infringe on the rights of, restrict, or inhibit anyone else’s use. This includes not transmitting any harmful or disruptive code, or attempting to access secure areas of the site without authorisation.

All website content, including text, images, and downloadable material, is the property of Thrive CA Ltd and may not be reused or distributed without written permission.

2. Services & Engagements

Thrive offers a range of business services including:

  • Chartered accounting and tax compliance

  • Business advisory and strategic planning

  • Coaching and group programs such as (but not limited to) the Thrive Jumpstart Programme, Thrive Without Sacrifice Programme, Thrive Beyond Business Programme and Founders Boardroom Mastermind.

Engagement in these services is subject to an individual proposal and agreement, which outlines the scope, responsibilities, and terms specific to your engagement.

Commitment periods vary depending on the program or service joined. Upon agreeing to proceed, you will receive a service agreement outlining your obligations, payment terms, and commitment period.

3. Responsibilities

Your responsibilities include:

  • Providing timely, complete, and accurate information

  • Keeping your contact and business details up to date

  • Meeting your tax obligations and deadlines

  • Reviewing advice before acting on it, and seeking clarification if needed

Our responsibilities include:

  • Acting with integrity, diligence, and in accordance with Chartered Accountants Australia & New Zealand (CAANZ) guidelines

  • Protecting your confidential information

  • Advising clearly and communicating progress

  • Informing you of any concerns or risks we identify

4. Fees & Payment

  • Fees are outlined in individual service proposals and may be fixed or estimated depending on the scope

  • Monthly fee arrangements require Direct Debit or Credit Card payment

  • Invoices are payable within 7 days unless otherwise stated

  • Late payment may incur interest (2% per month) and/or service suspension

  • You are liable for any costs associated with debt recovery or legal action

  • Refunds are generally not provided once work has commenced, unless agreed

5. Intellectual Property & Document Ownership

  • All working papers and materials created by Thrive remain our property

  • You retain ownership of your original documents and data

  • We retain copies for seven years in accordance with professional record-keeping standards

  • You may use our work outputs (e.g. financial statements) for their intended business purpose only

6. Confidentiality & Conflict of Interest

We are bound by the NZICA Code of Ethics, which includes strict confidentiality requirements. We will never share your information without your consent, unless required by law or professional obligation (e.g. audit by CAANZ).

We will inform you if we identify a conflict of interest and, where it cannot be reasonably managed, we may terminate or adjust the engagement accordingly.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability (including directors and staff) is limited to NZD $1,000,000

  • We are not liable for indirect, special, or consequential losses

  • We are not liable for advice given on an earlier occasion unless confirmed in writing

Advice is tailored to your business circumstances, but results may vary depending on your actions, implementation, and business conditions.

8. Privacy Policy

We collect, store, and process personal information in accordance with the Privacy Act 2020.

What We Collect:

  • Contact and business details provided by you

  • Information submitted through forms, quizzes, or communications

  • Data from analytics tools, email platforms, and accounting integrations

How We Use It:

  • To deliver our services and stay in touch

  • To meet compliance obligations

  • To improve our offerings and customer experience

Data Storage:

We use secure third-party software including Xero, Dropbox, Microsoft Azure, and WorkflowMax. Some data may be stored offshore (e.g. US/Australia) depending on the platform.

Your Rights:

You can request access to or correction of your personal information at any time by emailing info@thrive.nz.

9. Termination

The terms of termination will vary depending on the service provided:

  • For Compliance and Ongoing Advisory Services: Either party may terminate the agreement by providing one month’s written notice.

  • For Group Programmes, Courses or Fixed-Term Packages: A minimum commitment period applies as outlined in your specific programme agreement. Early termination is not permitted unless otherwise agreed in writing.

Thrive reserves the right to terminate any agreement immediately in the event of misconduct, non-cooperation, non-payment, or a conflict of interest.

10. Complaints & Dispute Resolution

If you are unhappy with our service, please contact your engagement lead. If we can’t resolve the issue directly, you may access the NZICA’s independent complaints and fee resolution process.

11. Governing Law

These terms are governed by New Zealand law. Any disputes will be handled through the New Zealand courts.
